ORION Wholesale provides its customers with various sales support tools for the purpose of promoting sales. In particular, this includes the customer's opportunity to download photos, images, product descriptions, advertising copy, and other supporting materials from the wholesale customer portal's download area. The use of the data and content made available in the download area is governed by these Terms of Use, which shall apply exclusively.
By making the download, the wholesale customer confirms that they have taken note of the following terms, agree to their applicability, and will comply with them in full.
All data and content made available are protected by copyright and/or related rights and/or other protective rights in favor of ORION Versand GmbH & Co. KG.
Special Notes on AI-Generated Content
The download area also contains various contents that have been created in whole or in part through the use of artificial intelligence applications.
These contents are expressly identified as such in the file path and are therefore easily recognizable to the user. It is expressly pointed out that compliant use and application of this data, in particular compliance with the applicable labeling requirements of the European AI Act or any other international or national transparency requirements for the use of artificial intelligence, must be ensured solely by the wholesale customer.
Use of the data and content by the wholesale customer is permitted only in accordance with and within the scope of this agreement.
The use of the data and content by the wholesale customer requires an existing, active business relationship between the wholesale customer and ORION Versand GmbH & Co. KG. Upon termination of the business relationship, any permission to use the data and content shall also end automatically and with immediate effect.
ORION Versand GmbH & Co. KG grants the wholesale customer a simple, time-limited, and content-limited right to use the data and content provided for the purpose of advertising and selling the erotic products purchased by the wholesale customer from ORION Versand GmbH & Co. KG. The data and content may be used exclusively for advertising the respective erotic products; for example, use for general image advertising or corporate presentation advertising of the wholesale customer is not permitted.
The wholesale customer is not permitted to edit or otherwise modify the data and content, whether by addition or omission.
Furthermore, the wholesale customer is not permitted to pass the data and content on to third parties or to grant usage rights to others, unless this is absolutely necessary for the technical implementation of its own advertising measures for the respective products.
The granting of the aforementioned usage right is currently provided to the wholesale customer free of charge. ORION Versand GmbH & Co. KG reserves the right to revoke the permission to use at any time and without stating reasons.
The wholesale customer is hereby expressly informed that it is solely their responsibility to regularly inform themselves about any updates, changes, notices, warnings, or usage restrictions and to observe them. Updates to image and text data should be regularly and carefully checked by wholesale customers and, if necessary, incorporated into their own databases. The use of outdated image and text data may lead to legal issues, for which the wholesale customer shall bear sole responsibility.
ORION Versand GmbH & Co. KG assumes no liability or warranty whatsoever for the economic usability or legal permissibility of the data and content, so that, in particular, third-party rights to data, content, photos, images, trademarks, logos, or designations may preclude their use. Likewise, compliance with all applicable legal provisions in Germany, Europe, and internationally, in particular criminal law and youth protection regulations and requirements, is solely the responsibility of the wholesale customer.
This agreement contains all arrangements made between the parties regarding the subject matter of the agreement; there are no verbal ancillary agreements.
The exclusive place of jurisdiction for any disputes between the parties arising out of or in connection with this agreement or its execution shall be Flensburg, Germany.
This agreement and all legal relationships arising between the parties from this agreement and its execution shall be governed solely by the laws of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods.
Should any provision of this agreement be or become invalid, this shall not affect the validity of the remaining provisions. The parties shall replace the invalid provision with one that comes as close as possible to the economic intent of the invalid provision. This shall also apply in the event of a contractual gap.
