Using ORION Wholesale’s data for sales purposes
ORION Wholesale offers its customers different shop displays for sales promotion purposes. In addition to this it is also possible for customers to download photos, images, product descriptions, advertisement texts, as well as other things in the wholesale customer portal’s download area. The use of the data and content, which are available in the download area, is subject to the current terms of use and has exclusive validity.
By completing the download, the wholesale customer is acknowledging the following conditions and agreeing to the validity and that they will follow them in full.
All the available data and content are copyrighted and/or ancillary copyrighted and/or protected by other rights for the benefit of ORION Versand GmbH & Co. KG.
The use of data and content by the wholesale customers is only allowed in accordance with and under the terms of this agreement.
The use of the data and content by the wholesale customers requires an existing and active business relationship between the wholesale customers and ORION Versand GmbH & Co. KG. When the business relationship is terminated, all permissions of use will end automatically, taking immediate effect.
ORION Versand GmbH & Co. KG allows the wholesale customers simple, temporary and limited content usage rights for the provided data and content. They serve the purpose of advertising and selling the erotic items. The data and content are obtained by the wholesale customers from ORION Versand GmbH & Co. KG. The data and content are only allowed to be used to advertise the respective erotic products. The wholesale customers are not allowed to use the promotional images or promotional presentations for their own business activities.
The wholesale customers are not allowed to edit or alter the data or content in any way, whether it be by adding to them or omitting parts of them.
The wholesale customers are also not allowed to pass on the data and content to a third party or they themselves grant others usage rights except when they are absolutely necessary for the technical realisation of their own advertising campaigns for the respective products.
The aforementioned granted usage rights are currently free of charge for the wholesale customers. ORION Versand GmbH & Co. KG reserves the right to withdraw the permission of use at any time without giving any reason.
It is hereby explicitly pointed out to the wholesale customers that it is their sole responsibility to regularly inform themselves and pay attention to any updates, alterations, information, warnings or restrictions of use. Image and text updates should be regularly and thoroughly checked and, where necessary, be transferred into their own databases. The use of old images and texts could lead to legal problems, which the wholesale customers are responsible for.
ORION Versand GmbH & Co. KG accepts no liability or responsibility for the economic usefulness and the legal suitability of the data and content. The rights of third parties, in particular, should be observed when using the data, contents, photos, images or trademarks, logos and brands to avoid any violation of third party rights. Equally, it is the sole responsibility of the wholesale customers to observe all valid German, European and international legislation, especially criminal and child protection regulations and requirements.
This agreement contains all the affected regulations between the parties about the subject matter of the agreement. There are no verbal side agreements.
The only place of jurisdiction for potential disputes between the parties of and in relation to this agreement or its implementation is Flensburg, Germany.
This agreement and all the legal relationships between the parties that arise as a result of this agreement and its implementation are only subject to the law of the Federal Republic of Germany, excluding the unified sales law.
Should a clause of this agreement be or become void, it will not affect the validity of the other clauses. Both parties will replace the void clause with another clause that comes the closest to the economic purpose of the void clause. This also applies to gaps in the contract.
